Procedures for Resolutions to be Presented at the Annual Meeting of All Members
- Article X of the Bylaws of the American Translators Association, Inc., charges the Board of Directors to adopt procedures for the introduction of resolutions at the Annual Meeting of All Members.
- Members are requested to submit resolutions for consideration at the Annual Meeting of All Members to the Board of Directors at least 60 days before the scheduled date of such meeting, in order to allow timely notification to all members of the Association of matters to be considered.
- Resolutions to be presented to the membership with less than 60 days prior notice to the Board of Directors should be submitted to the Secretary in writing at least 24 hours before the Annual Meeting of All Members. To be considered at the meeting, such late resolutions must receive at least a 2/3 vote of the voting members present or represented by proxy at the meeting, without debate. If the voting members so vote to consider a resolution at the meeting, a majority vote is required to adopt the resolution, with debate.
- The chair of the Annual Meeting of All Members will set and announce a time limit for discussion of each resolution and for each individual discussant.
Revised by the ATA Board of Directors January 2005.
