Decision-Making in Corporate Law Translation, Part 2

Go beyond entity names and corporate documents to tackle some of the most challenging concepts in corporate law translation, including shareholder rights, stock options, RSUs, phantom shares, and other equity-based compensation mechanisms.

How do you translate a right of first refusal when the concept functions differently across legal systems? What distinguishes a tag-along right from a drag-along right? And how should translators approach terms such as phantom shares, stock options, or voting trusts when no direct equivalent exists? Designed for English-to-Spanish and Spanish-to-English legal translators, this workshop examines corporate structures, shareholder rights, and equity-based compensation mechanisms in the United States and the United Kingdom. Through authentic corporate documents and guided translation exercises, participants will deepen their understanding of key legal concepts and develop strategies for making accurate, informed translation decisions rather than relying on automatic terminology equivalents.

By attending this workshop, you will:

1. Understand the structure and governance of corporations in the United States and the United Kingdom, including the role of bylaws, shareholders’ agreements, and other corporate documents.
2. Analyze different classes of shares, shareholder rights, voting arrangements, and control mechanisms used in corporate governance.
3. Distinguish among key share-related rights and protections, including rights of first refusal, preemptive rights, tag-along rights, and drag-along rights.
4. Explore stock options, phantom shares, and other equity-based incentive mechanisms, along with share pledges and security interests involving shares.
5. Apply practical translation strategies through guided exercises based on authentic corporate law documents, including bylaws, shareholders’ agreements, voting provisions, and share pledge clauses.

About the Presenter

Graciela Susana Souto is a translator and attorney with more than 35 years of experience in legal translation, contract law, intellectual property, and comparative legal systems. She is a professor of legal translation and Anglo-American law at the Universidad Católica Argentina and has also taught at the Universidad de Buenos Aires, the Universidad de Belgrano, and the Universidad del Salvador. She was an instructor of legal translation in the Certificate in Translation Program at New York University’s School of Continuing and Professional Studies and has taught professional courses for translator associations throughout Latin America. She teaches at the undergraduate and graduate levels and regularly serves as a thesis advisor and member of graduate thesis committees. She has been invited by ATA to deliver seminars and webinars and was a distinguished speaker at the 2011 ATA Annual Conference. She also served as president of the Ethics Tribunal of the Buenos Aires Association of Sworn Translators. Her professional focus is on interpreting contract language and legal drafting across languages.
